  1. Blockchain Coinvestors Acquisition Corporation 1 is unsuccessful in raising the SPAC

  2. Blockchain Coinvestors Acquisition Corporation 1 does not complete an acquisition. If we do not complete an acquisition, virtually all of the risk capital will be forfeit. Since 2009, 557 SPACs were raised, and 26 liquidated without a business combination. 19 of the liquidations occurred in 2015 or earlier terms continue to improve to discourage liquidations). From 2016-2019, 157 SPACs were raised, 127 announced deals, 18 are still searching for a deal and 7 have been liquidated.

  3. The stock does not perform post acquisition. If the stock trades below $12.50 at the expiration of the post-merger lockup, returns to investors will be lower than intended. Performance of business combinations has varied over the years. There were 55 deals announced between July 27 and December 18, 2020. Only one of those has traded down (-0.2%) and the others have seen an average price increase of 42%.
